| تناولنا في هذا البحث موضوع اندماج الشركات وأثر ذلك على كل من الشركات الداخلة فيه والغير من دائني الشركة, وذلك في ضوء قانون الشركات المصري ومقارنته بقانون الشركات الفرنسي. وقد تمت معالجة موضوع هذا البحث من خلال مبحثين, تناول المبحث الأول منهما بيان الآثار العامة لاندماج الشركات, حيث تناولنا من خلال هذا المبحث بيان أثر الاندماج بالنسبة لكل من الشركة المندمجة والشركة الدامجة أو الجديدة الناتجة عن الاندماج, وخصصنا المبحث الثاني لبيان آثار اندماج الشركة على حقوق الغير من دائي الشركة، سواء كانوا دائنين عاديين أو من حملة السندات. Research Summary This research dealt with the issue of the merger of a joint-stock company and its impact on both the companies involved in it and other creditors of the company, in light of the Egyptian company law and its comparison with the French company law. The subject of this research was addressed through two sections, the first of which dealt with explaining the general effects of the merger of companies. Through this section, we dealt with explaining the impact of the merger on both the merged company and the merging or new company resulting from the merger. We devoted the second section to explaining the effects of the company’s merger on The rights of third party creditors of the company, whether they are ordinary creditors or bondholders. | ||||
