| Abstract | ||||
| لقد جاءت أحكام الشركة ذات المسؤولية وسطًا بين شركات الأشخاص وشركات الأموال بسبب طبيعتها القانونية المختلطة، وهذا الأمر يُعد ميزةً لهذه الشركة في بعض الأحوال لما يُشكله من مرونة وعدم تعقيد في أحكامها، ويُعد في أحوالٍ أخرى إشكالًا قانونيًا لتأرجح هذه الشركة بين نوعين كبيرين من أشكال الشركات وهما شركة التضامن التي تعتبر النموذج الأمثل لشركات الأشخاص وشركة المساهمة التي تعتبر النموذج الأمثل لشركات الأموال، الأمر الذي أدّى إلى اهتمام القوانين والأنظمة وشراحها بهاتين الشركتين وبسط أحكامهما باهتمام واضح لم يكن للشركات الأخرى نصيبٌ مثله، وقد أثّر هذا الأمر على الأحكام الواردة في الشركة ذات المسؤولية المحدودة خصوصًا ما يتعلق بأحكام إدارتها وطرق تعيين المدير وتحديد صلاحياته وواجباته وما يُحظر عليه ومسؤوليته تجاه ذلك، فمثل هذه المسائل نجدها مبسوطة وواضحة في شركتي التضامن والمساهمة بما لا نجده في الشركة ذات المسؤولية المحدودة، وقد جاء هذا البحث لإلقاء الضوء على هذه المشكلة وإثارة الغموض في موضوع حدود سلطات مدير الشركة ذات المسؤولية المحدودة وواجباته، واقتراح معالجة هذا الأمر، وتوضيح حدود صلاحيات مدير الشركة ذات المسؤولية المحدودة وواجباته حسب نتائج هذا البحث وتوصياته. Abstract: The limited liability company's provisions were made on a medium basis between people's companies and money companies because of their mixed legal nature. This is in some cases an advantage for this company due to the flexibility and the lack of complication of its provisions. In other cases, it is a legal form to fluctuate this company between two large types of companies forms: they are solidarity company, which is the ideal model for people's companies, and shareholding company, which is the ideal model for money companies and this form has led to the interest and explanation of the laws and regulations in both companies and the extension of their provisions with a clear interest that other companies have had no share like. This form has affected the provisions of the limited liability company in particular with regard to its management provisions, methods of appointment of the director and determination of the director's authorities and duties and what is prohibited and liable to do in this respect. We find such issues have been extended and clarified in both companies; the solidarity company and shareholding company which we do not find in the limited liability company. The present research has come to highlight this problem and create ambiguity on the subject of the limitations of the limited liability company director's authorities and duties and propose addressing this matter and clarify the limitations of the director's authorities and duties of the limited liability company in accordance with the results and recommendations of this research. | ||||
