| Abstract | ||||
| إن إزدياد وتطور النشاط التجاري يوماً بعد الأخر - كان له الأثر في إقتصاد الدولة والتأثير الإيجابي علي إزدياد معدلات الدخل القومي – وزيادة التعاملات الدولية أيضاً ، لذلك سعي المشرع للحفاظ علي تلك المشروعات التجارية من الإنهيار – فعمل علي إعادة صياغة التشريعات لتواكب ما يحدث من تطورات. ولذلك نظم المشرع المصري قانون إعادة الهيكلة والصلح الواقي والإفلاس رقم 11 لسنة 2018 عملاً علي السعي بالمشروعات التجارية للإستمرار وزيادة معدلاتها الإنتاجية ، ثم عمل علي تعديل بعض أحكامة إعمالاً للتوازن بين مصالح الدائنين والمدين ، وكان من بين تلك التعديلات - هو إعطاء الدائن حق طلب الصلح لمدينه ، ويعد هذا أمر مستحدث –فكان من المعتاد منذ بداية تطبيق الصلح الواقي – كان المدين هو من له الحق في تقديم طلب الصلح بالإتفاق والتفاوض مع دائنية ، ولكن رغبة من المشرع في إعمال التوازن بين مصالح المدينين التجار والدائنين أعطي المشرع هذا الحق للدائن ورغبة منه أيضاً في تقديم الدائن الحلول والمساعدات للمدين والمقترحات في تسويه الديون فيما بينه وبين الدائنين – وإن كان لهذا الأمر مزايها فإن له أيضاً العديد من العيوب التي كان يجب أن يتجنبها المشرع المصري أو يعمل علي إيجاد الحلول القانونية لها ، ولذلك كان لابد من أن تتم دراسة هذا الموضوع ، سعياً منا في بيان ماله من مزايا وعيوب ولماذا استحدث المشرع هذا الحق للدائن ؟ وكيف له أن يتفادي تلك العيوب من الناحية القانونية . The increase and development of commercial activity day after day - had an impact on the state's economy and a positive impact on increasing national income rates - and increasing international transactions as well, so the legislator sought to preserve these commercial projects from collapse - so he worked to reformulate the legislation to keep pace with the developments that are taking place. Therefore, the Egyptian legislator organized the Restructuring, Protective Settlement and Bankruptcy Law No. 11 of 2018 in order to strive for commercial projects to continue and increase their production rates, then worked to amend some of its provisions to achieve a balance between the interests of creditors and the debtor, and among those amendments - is to give the creditor the right to request a settlement for his debtor, and this is a new matter - it was customary since the beginning of the application of protective settlement - the debtor was the one who had the right to submit a settlement request by agreement and negotiation with his creditors, but the legislator's desire to achieve a balance between The interests of commercial debtors and creditors The legislator gave this right to the creditor and also out of his desire for the creditor to provide solutions and assistance to the debtor and proposals in settling debts between him and the creditors - although this matter has its advantages, it also has many disadvantages that the Egyptian legislator should have avoided or worked to find legal solutions for them, and therefore it was necessary to study this topic, in an effort from us to clarify its advantages and disadvantages and why the legislator created this right for the creditor? And how can he avoid these disadvantages from the legal point of view. | ||||
